CSIG Council Regulations (Trial)

Chapter 1 General Provisions

Article 1 These Regulations are formulated in accordance with the Articles of Association of the China Society for Image and Graphics (CSIG) to implement the requirements of the Ministry of Civil Affairs and the China Association for Science and Technology on the organization and management of social organizations, strengthen the functions of the CSIG Council (hereinafter referred to as the "Council") and its leadership team, clarify responsibilities and powers, standardize procedures, and improve efficiency.

 

Chapter 2 Composition of the Council

Article 2 The Council is the executive body of the National Congress of Members and is accountable to it. During the intersessional period of the National Congress of Members, the Council leads the work of the Society. Each term of the Council shall be five years.

 

Article 3 The Society shall establish a Standing Council. The Standing Council shall be elected by the Council and is accountable to it.

 

Article 4 The Council (Standing Council) shall be established in accordance with the Articles of Association of the Society and exercise its functions and powers within the scope stipulated by the Articles of Association.

 

Article 5 Principles for the Composition of the Council (Standing Council)

(1) The principle for determining the size of the Council is to refer to the total number and distribution of members; based on the professional structure, age structure, and the activity status of societies in provinces, municipalities directly under the Central Government, and autonomous regions (hereinafter referred to as "provincial societies"), professional committees, and working committees; and to pay attention to the situation of corporate members with strong scientific and technological strength.

(2) Deputy Secretaries-General of the Society appointed by the Council (excluding full-time ones), directors of working committees, and directors of professional committees shall automatically become members of the Council; the Secretary-General shall automatically become a member of the Council and the Standing Council.

(3) Refer to the work and distribution of members of the previous Council. The number of members of the Standing Council shall not exceed one-third of the number of members of the Council.

(4) Members of the Council (Standing Council) shall have certain representativeness and authority in their respective professional fields, with an appropriate proportion of experts, scholars, scientific and technological workers engaged in the front line of industry-university-research, and management personnel.

(5) The adjustment of members in each term shall not be less than one-third.

(6) Candidates for new recommended Council members shall, in principle, be under 55 years old (inclusive) and have a professional title of associate senior or above; academicians of the Chinese Academy of Sciences and the Chinese Academy of Engineering, deputies to the National People's Congress, members of the National Committee of the Chinese People's Political Consultative Conference, and current Council members are not subject to this restriction.

(7) The Society shall set up honorary Council members. Honorary Council members shall be former Council members of the Society who have made significant contributions to the Society and China's image and graphics science and technology cause. They shall be nominated by the Standing Council, appointed after being elected by the Council, and serve a term of five years. Honorary Council members may attend Council meetings as non-voting observers and have no voting rights.

 

Chapter 3 Principal Responsible Persons of the Council

Article 6 The Chairman, Vice-Chairmen, Secretary-General, and members of the Standing Council of the Society shall be elected by the Council through secret ballot, and the number of votes obtained by the elected candidates must reach more than half (inclusive) of the total votes. Candidates for Chairman, Vice-Chairmen, and members of the Standing Council shall be produced through democratic consultation by the Council, and the candidates themselves must clearly express their willingness to take office.

 

Article 7 The qualifications for the Chairman, Vice-Chairmen, and Secretary-General shall be implemented in accordance with the provisions of the Articles of Association.

 

Article 8 The Chairman shall exercise the following functions and powers:

(1) Convene and preside over meetings of the Council and the Standing Council.

(2) Lead and supervise the work of the Vice-Chairmen and the Secretary-General.

(3) Inspect the implementation of resolutions of the National Congress of Members, the Council (Standing Council).

(4) Represent the Society in signing relevant important documents.

 

Article 9 As members of the top leadership of the Society, the Vice-Chairmen shall assist the Chairman in the following main work:

(1) Attend working meetings of the Chairman.

(2) Be in charge of different aspects of the Society's work according to division of labor.

(3) Attend relevant important meetings, participate in major events on behalf of the Society, and sign relevant documents on behalf of the Society as assigned or entrusted by the Chairman.

 

Article 10 Under the leadership of the Council, the Secretary-General shall exercise the following functions and powers:

(1) Preside over the daily work of the administrative office and organize the implementation of the annual work plan.

(2) Coordinate the work of various branch organizations, representative offices, and entity institutions.

(3) Nominate Deputy Secretaries-General and principal responsible persons of various administrative offices, branch organizations, representative offices, and entity institutions, and submit them to the Council (Standing Council) for examination and approval.

(4) Employ full-time staff of administrative offices, representative offices, and entity institutions.

(5) Handle other daily affairs.

 

Chapter 4 Council Meetings

Article 11 A working meeting system of the Chairman shall be established to make decisions on and lead major issues during the intersessional period of the Standing Council. Working meetings of the Chairman shall be convened irregularly by the Chairman and attended by the Chairman, Vice-Chairmen, Secretary-General, and relevant personnel. Minutes formed at working meetings of the Chairman shall be communicated to the Standing Council.

 

Article 12 Formal notices, including the time, venue, draft agenda, and necessary materials of the meeting, shall be sent by the Secretariat to the intended participants one week before the convening of meetings of the Council, the Standing Council, and working meetings of the Chairman.

 

Article 13 Meetings of the Council (Standing Council) may be held in a centralized manner or by correspondence. However, for important matters involving the appointment and removal of personnel of the Society, the establishment of branch organizations, and the formulation of rules, meetings must be held in a centralized manner.

 

Article 14 Meetings of the Council (Standing Council) may only be convened if more than two-thirds (inclusive) of the members of the Council (Standing Council) are present. If the number of attendees fails to meet the quorum, the meeting shall be held as a regular working meeting, and no resolutions may be formed in the name of the Council (Standing Council).

 

Article 15 If more than one-third (inclusive) of the Council members propose to convene a Council meeting, or more than one-third (inclusive) of the Standing Council members propose to convene a Standing Council meeting, the Chairman must convene the corresponding meeting within four weeks after receiving the proposal.

 

Article 16 Before the convening of a Council (Standing Council) meeting, members of the Council (Standing Council) may submit motions to the Council (Standing Council), and the meeting convener shall decide whether to include them in the meeting agenda according to the situation. If the number of Council (Standing Council) members submitting the motion reaches one-third of the quorum, the issue must be included in the meeting agenda.

 

Article 17 Unless authorized by the Council (Standing Council) or the Chairman, no individual member of the Council (Standing Council) has the right to directly submit any matter to the Council (Standing Council) for voting. Council members have no right to convene Council (Standing Council) meetings on their own initiative.

 

Article 18 When a Council (Standing Council) meeting is held, participants shall be given the opportunity to express their opinions, and speakers shall speak within the specified time. The speaking time shall be controlled by the host, who has the right to terminate the over-time speech of any speaker.

 

Article 19 Issues for which resolutions are to be formed at Council (Standing Council) meetings must be voted on by secret ballot at the meeting.

 

Article 20 Members of the Supervisory Board may attend Council (Standing Council) meetings as non-voting observers, express their opinions, but have no voting rights.

 

Article 21 When convening a Council (Standing Council) meeting, the Chairman may invite members to attend as non-voting observers as appropriate, and responsible persons of the Society's working institutions may be invited to attend Council (Standing Council) meetings as non-voting observers.

 

Article 22 Special personnel shall be arranged to record the discussions at Council (Standing Council) meetings. Within one week after the meeting, the Secretariat shall formulate a draft of the meeting minutes and solicit opinions from all participants. Members of the Council (Standing Council) must confirm within one week; otherwise, it shall be deemed that they agree to the content of the draft meeting minutes. After the minutes are finalized, they shall be promptly announced and filed, and no one may add, delete, or modify them.

 

Article 23 E-mail is an important communication tool among members of the Council (Standing Council) and between members of the Council (Standing Council) and the Society's responsible persons. For important information transmitted by the Chairman or other responsible persons through the above tools (especially items requiring voting), members of the Council (Standing Council) must reply within the time limit. Failure to reply within the time limit shall be deemed as agreeing to the content stated in the e-mail. If the e-mail address of a member of the Council (Standing Council) changes, they shall notify the Secretariat in a timely manner; the member of the Council (Standing Council) shall be responsible for any losses caused by incorrect address information.

 

Chapter 5 Duties and Obligations of Council Members

Article 24 If a Council Member (Standing Council Member) is unable to attend a meeting due to special reasons, they shall formally ask for leave from the Chairman or Secretary-General in advance and file the leave with the Secretariat. The absent member may submit written opinions to the meeting but shall not entrust others to attend on their behalf. After the meeting, the absent Council Member (Standing Council Member) may express their views on the matters decided at the meeting, but shall not modify the relevant decisions.

 

Article 25 If a Council Member (Standing Council Member) is absent from two consecutive meetings of the Council (Standing Council), their qualification as a Council Member (Standing Council Member) shall be terminated automatically. When the qualification of a Standing Council Member is terminated, their qualification as a Council Member shall be retained if they meet the qualifications for serving as a Council Member. After the termination of the qualification as a Council Member (Standing Council Member), the person shall not apply to restore such qualification within one year.

 

Article 26 Standing Council Members shall be obligated and responsible for keeping confidential the confidential contents of the Standing Council. In case of information leakage, the Chairman shall issue a warning to the relevant person on behalf of the Standing Council. If the circumstances are serious, the Standing Council shall have the right to propose to the Council to revoke the person’s qualification as a Standing Council Member.

 

Article 27 No Council Member (Standing Council Member) may speak or sign documents on behalf of the Society to the outside world without authorization, except when making remarks in their personal capacity based on their position in the Society.

 

Article 28 All major matters, such as contacting and signing agreements with international academic organizations in the name of the China Society of Image and Graphics (CSIG), or signing agreements with other domestic societies, institutions, or social organizations for joint activities, shall be submitted to the Chairman's Working Meeting for deliberation. If there is insufficient time to complete the approval process due to time constraints, the matter may first be reported to the Chairman for approval, followed by subsequent review and filing procedures afterwards.

 

Article 29 Council Members (Standing Council Members) shall maintain close ties with relevant institutions and members, understand and reflect the demands of members and relevant personnel, as well as their opinions and suggestions on the work of the Society.

 

Article 30 At the end of their term of office, each Council Member shall fill in a "Council Member Contribution Form" and submit a report to the National Congress of Members.

 

Article 31 The expenses incurred by a Council Member (Standing Council Member) for attending meetings of the Council (Standing Council) shall be borne by the member themselves (or their affiliated institution).

 

Chapter 6 Penalties and Appeals for Council Members

Article 32 If a Council Member (Standing Council Member) fails to meet the relevant provisions of these Regulations or the qualifications required for election, their qualification as a Council Member (Standing Council Member) shall be terminated upon confirmation by the Supervisory Board.

 

Article 33 If a Council Member is given a severe warning or expelled as a penalty for violating the relevant provisions of the Membership Regulations of the China Society of Image and Graphics, their qualification as a Council Member shall be terminated upon confirmation by the Supervisory Board.

 

Article 34 If a Professional Committee is reorganized, merged, or dissolved during its term of office, the position of the Council Member representing that Professional Committee shall be terminated immediately. If a Professional Committee fails to pass the annual assessment, the qualification of the Council Member representing the committee shall be suspended for one year starting from the next year, and shall be restored after the committee passes the assessment. The director of the reorganized Professional Committee may participate in the by-election for Council Members.

 

Article 35 When the qualification of a Council Member is terminated, any concurrent positions they hold such as Standing Council Member, Vice-Chairman, or Chairman shall be terminated automatically. When the qualification of a Standing Council Member is terminated, any concurrent positions they hold such as Vice-Chairman or Chairman shall be terminated automatically.

 

Article 36 If the Chairman (Vice-Chairman) is unable to perform their duties, the Council (Standing Council) shall put forward a proposal and submit an application to the China Association for Science and Technology. After obtaining approval, the election shall be conducted in accordance with the provisions of the Society's Articles of Association, and the relevant formalities for modification shall be completed at the national registration and administration authority for social organizations as required.

 

Article 37 If the Secretary-General is unable to perform their duties or seriously violates the rules of the Society, the Council shall initiate the dismissal procedure and impose corresponding penalties based on the circumstances.

 

Article 38 If a Council Member, Standing Council Member, Vice-Chairman, or Chairman is suspended from office due to violations of regulations, the Supervisory Board shall announce the decision to the entire Council and the National Congress of Members. If the Secretary-General is suspended from office due to violations of regulations, the Chairman shall announce the decision to all Council Members.

 

Article 39 If a penalized Council Member, Standing Council Member, Vice-Chairman, or Chairman has objections to the penalty decision, they may appeal to the Supervisory Board. If more than two-thirds (inclusive) of the supervisors agree to uphold the original penalty decision, the appeal shall be rejected; otherwise, the original penalizing authority shall review and make a new decision. After being penalized, the Secretary-General may appeal to the Standing Council. If more than two-thirds (inclusive) of the attending Standing Council Members agree to uphold the original penalty decision, the appeal shall be rejected; otherwise, the original penalizing authority shall review and make a new decision. The decision made again by the Supervisory Board or the Standing Council shall be final, and no further appeals from the penalized person shall be accepted.

 

Chapter 7 Mid-term Changes of Council Members

Article 40 In case of a vacancy in the position of Chairman, the Vice-Chairman who received the most votes shall succeed to the position of Chairman and serve until the end of the current term of the Council. If multiple Vice-Chairmen tie for the highest number of votes, the Standing Council shall hold a vote among these Vice-Chairmen to determine the successor, which shall be adopted by a simple majority of the attending Standing Council Members.

 

Article 41 If a vacancy arises in the position of Vice-Chairman, the Council shall hold a by-election to fill the vacancy. If a vacancy arises in the position of Secretary-General, the Council shall recruit a new candidate for the position.

 

Article 42 For those who hold the position of Council Member by virtue of serving as the Deputy Secretary-General of the Society or the director of a Working Committee, their qualification as a Council Member shall be terminated when they cease to hold the above positions.

 

Article 43 If the employment status of a person who serves as a Council Member on behalf of a Professional Committee changes, their qualification as a Council Member shall be terminated. The new director of the Professional Committee or another person designated by the committee shall succeed to the position of Council Member.

 

Article 44 If a new Professional Committee is established during the current term, the director of the new committee may apply for the position of Council Member, which shall be supplemented in accordance with the provisions of these Regulations. When a Professional Committee whose Council Member's qualification has been suspended passes the reassessment after rectification, it may re-nominate its director to serve as a Council Member, which shall be supplemented in accordance with the provisions of these Regulations.

 

Article 45 To supplement a Standing Council Member during the current term, an existing Council Member shall submit an application and obtain written recommendations from no fewer than 15 (inclusive) members to become a preliminary candidate. To supplement a Council Member during the current term, a candidate shall obtain written recommendations from no fewer than 10 (inclusive) members to become a preliminary candidate.

 

Article 46 The preliminary candidates shall be elected at the Standing Council Meeting according to the number of positions to be filled. The number of votes cast shall not exceed the number of Council Member (Standing Council Member) positions to be filled. Preliminary candidates who receive more than half of the votes from the attending Standing Council Members shall be elected as official candidates in descending order of the number of votes they receive. If the number of elected candidates is less than the number of positions to be filled, another vote shall be held for the remaining positions. If the number of elected official candidates is still less than the number of positions to be filled after this round of voting, no additional official candidates shall be supplemented.

 

Article 47 The official candidates nominated by the Standing Council shall be voted on at the Council Meeting and shall be adopted only if more than four-fifths (inclusive) of the attending Council Members vote in favor.

 

Chapter 8 Supplementary Provisions

Article 48 These Regulations shall take effect after being adopted by the Council and shall be interpreted by the Standing Council.
